Welcome to the Italicore application. These Terms and Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and Emanuele Dirignani ("Owner"), concerning your access to and use of this web application and any associated services. By accessing, browsing, or using this service, you acknowledge that you have read, understood, and agreed to be bound by all of these Terms and Conditions in their entirety. If you do not agree with any part of these terms, you are expressly prohibited from using the service and must discontinue use immediately.

2. Intellectual Property Rights

The Italicore application, including its proprietary curriculum, Python-based backend logic, complex unit structures, visual designs, and database dictionary data, is the exclusive intellectual property of the Owner. All source code, database architecture, functionality, software, and website designs are protected by international copyright, trademark, and other intellectual property laws. You are strictly prohibited from attempting to reverse engineer, decompile, disassemble, or scrape any portion of the application's code or curriculum data. Any unauthorized use, reproduction, or distribution of this property without express written consent from the Owner is a violation of law and will be prosecuted to the fullest extent.

3. Use License and Restrictions

Permission is granted to access and use the materials within the Italicore application for personal, non-commercial transitory viewing and educational purposes only. This is the grant of a limited, non-exclusive license, not a transfer of title or ownership. Under this license, you may not: modify or copy the materials; use the materials for any commercial purpose or public display; attempt to decompile or reverse engineer any software contained on the site; remove any copyright or other proprietary notations from the materials; or transfer the materials to another person or "mirror" the materials on any other server. This license shall automatically terminate if you violate any of these restrictions.

4. Educational Content and Evolution

Materials are provided for Italian language learning and general educational enrichment. The Owner reserves the right to expand, modify, or remove content across various proficiency levels at any time to improve the learning experience. While the Owner strives for linguistic accuracy and high-quality instruction, all content is provided on an "as-is" and "as-available" basis. The Owner makes no warranties, expressed or implied, regarding the accuracy, reliability, or completeness of the curriculum, nor does the Owner guarantee that your use of the service will lead to specific academic, professional, or certification results.

AI-powered features in Italicore, including the Lira chat tutor, are supported by Google Gemini. By using these features, you acknowledge that your prompts, messages, and interactions with the AI may be used by Italicore and Google to improve and train their AI models and services.

5. Feedback and User Submissions

Italicore features a "Report Feedback" system designed to allow users to contribute to the growth of the platform. You acknowledge and agree that any questions, comments, suggestions, or ideas regarding the application provided by you to the Owner are non-confidential and shall become the sole property of the Owner. The Owner shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

6. Subscriptions, Payments, and Finality of Sale

Access to "Premium" units, advanced features, and extended tools requires a financial transaction. By purchasing a subscription or one-time unlock, you agree to provide current, complete, and accurate purchase and account information. Due to the digital nature of the educational content and the immediate, irrevocable access granted to the proprietary curriculum data upon purchase, all sales are considered final and non-refundable. Exceptions are only made in cases of documented and verified persistent technical failure attributable solely to the application's infrastructure that prevents access to the purchased Content for a period exceeding seven (7) business days.

7. Third-Party Advertising and External Links

Free users of Italicore acknowledge and consent to the display of third-party advertisements (e.g., PropellerAds) within the application interface. These advertisements may utilize tracking technologies like cookies to personalize your experience. The Owner does not monitor, endorse, or assume any responsibility for the content, privacy policies, or practices of any third-party advertisers or external websites linked within the application. Your interactions with advertisers found on or through the service are solely between you and such advertisers.

9. Prohibited Conduct and System Integrity

You agree not to use the application for any purpose that is unlawful or prohibited by these Terms. Prohibited activities include, but are not limited to: sharing "Premium" login credentials with unauthorized users; attempting to bypass payment logic or "is_premium" status through script injection or database manipulation; using any automated system (bots, spiders) to access the site; or engaging in any activity that disrupts or interferes with the stability of the hosting environment on Google Cloud Platform (GCP).

10. Limitation of Liability and Damages

To the maximum extent permitted by the laws of New Zealand, in no event shall Emanuele Dirignani be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, or other intangible losses. The Owner's total liability for any claim arising out of or relating to these terms shall not exceed the amount paid by you, if any, for accessing the premium features of the application.

11. Disclaimer of Warranties

The Italicore application and all included content are provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, whether express or implied. The Owner does not warrant that the service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. Your use of the service and any reliance on the educational material provided is solely at your own risk.

12. Indemnification

You agree to defend, indemnify, and hold harmless Emanuele Dirignani from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of and access to the Italicore application or your violation of any term of these Terms and Conditions.

13. Suspension, Termination, and Banning

The Owner reserves the right, in his sole discretion and without prior notice or liability, to suspend or terminate your account and deny access to the service for any reason. In the event of termination, the Owner shall not be obligated to refund any prepaid fees, and all rights granted to you under these terms shall cease immediately.

14. Data Privacy and International Transfer

Our data practices are governed by our Privacy Policy. By using Italicore, you acknowledge that your data—including referral metadata indicating which partner restaurant referred you—is processed and stored on servers provided by Google Cloud Platform (GCP). For security and safety reasons, we collect and store IP addresses associated with user logins. If you are accessing the service via a Restaurant Partner QR code or referral link, the application may record and store the identifier of the referring establishment to track the origin of the enrollment. If you are accessing the service from outside of New Zealand, you consent to the international transfer and processing of your personal data in New Zealand or other regions where our servers are located.

15. Third-Party Links and Resources

The service may contain links to third-party websites not owned or controlled by the Owner. We assume no responsibility for the content, privacy policies, or practices of any third-party websites. You acknowledge that the Owner shall not be responsible or liable for any damage or loss caused by or in connection with the use of such websites.

16. Severability and Interpretation

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be limited to the minimum extent necessary such that the remaining provisions continue in full force and effect. The failure of the Owner to enforce any right or provision shall not constitute a waiver of such right.

17. Right to Modify Terms and Service

The Owner reserves the right, at his sole discretion, to modify these Terms and Conditions at any time. We will alert you about changes by updating the “Last updated” date. Your continued use of the Italicore application following the posting of changes will mean that you accept and agree to the modifications.

18. Governing Law and Jurisdiction

These Terms and Conditions are governed by the laws of New Zealand. Any legal action arising under these Terms will be brought exclusively in the courts located in New Zealand, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.

19. Dispute Resolution and Arbitration

The parties shall first attempt to resolve the dispute through informal negotiations for at least thirty (30) days. If the dispute is not resolved, it shall be finally settled by binding arbitration in New Zealand, in accordance with the prevailing legal framework for arbitration in the Owner's jurisdiction.

20. Entire Agreement and Non-Waiver

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and the Owner. Our failure to enforce any part of these Terms shall not be deemed a waiver of any rights.

21. Force Majeure

The Owner shall not be liable for any failure to perform obligations where such failure results from causes beyond his reasonable control, including but not limited to outages caused by Google Cloud Platform (GCP) or other third-party infrastructure providers.
